Welcome to ACN Agency. By engaging our services, you agree to the following terms and conditions. These terms govern all professional engagements, project deliveries, and ongoing relationships between ACN Agency ("we," "our," "us") and the client ("you," "your," "client").
All engagements begin upon receipt of a signed proposal and initial payment (typically 50% of the total project fee). The scope of work is defined in the proposal and associated SOW (Statement of Work). Any additions or changes to scope must be agreed upon in writing and may affect timeline and budget.
Standard payment terms are 50% deposit upon project commencement and 50% balance upon project completion and prior to final deliverable files being released. For engagements over $50,000, milestone-based payments apply. Invoices are payable within 14 days of issue.
Upon receipt of full payment, intellectual property rights for custom work created specifically for the client are transferred, except for pre-existing materials, stock assets, and third-party fonts/software. We retain the right to showcase completed work in our portfolio unless a specific NDA is signed.
Each project scope defines a set number of revision rounds. Additional revisions beyond the agreed scope are billed at our standard hourly rate of $175/hour. We encourage clients to consolidated feedback to maximize revision efficiency.
Either party may terminate an engagement with 30 days written notice. In the event of cancellation, all work completed to date will be invoiced at the agreed rate, and any pre-paid amounts for unperformed work will be refunded. We reserve the right to cease work immediately if payment terms are violated.

Our brand colors are: Golden Yellow #FFD700, Golden Orange #FF8C00, Deep Purple #2D1B4E, and Soft Pink #FFB6C1. Always maintain sufficient contrast ratios for accessibility.
Our brand fonts are Playfair Display for headings and Montserrat for body text. These should never be replaced with substitute fonts in official communications.

All custom work created by ACN Agency is delivered with full intellectual property transfer upon final payment. Stock assets (photographs, icons, fonts) used within deliverables are licensed to the client for commercial use within the scope of the project.
Stock photographs sourced from providers such as Unsplash and Shutterstock are typically licensed for commercial use within the project scope. Extended licenses for broader use (merchandise, reselling, etc.) may require additional purchase.
Open-source code and frameworks used in web development are subject to their respective licenses (MIT, GPL, etc.). We ensure all third-party code is properly attributed and compliant.
We retain the right to display completed projects in our portfolio, on social media, and in marketing materials unless a separate NDA is signed restricting such use. Client confidentiality is always respected.
Our refund policy is designed to be fair to both parties while reflecting the non-recoverable nature of creative services and labor.
Deposit refunds: The initial 50% deposit is non-refundable once work has commenced, as it covers our resource allocation, discovery work, and initial creative exploration.
Mid-project cancellations: If you cancel a project after work has begun, you are responsible for payment of all work completed to date at the agreed rate. Unused pre-paid amounts for future phases will be refunded.
Client-initiated disputes: If a dispute arises, we commit to good-faith negotiation. If resolution cannot be reached, the matter will be handled through binding arbitration in accordance with the laws of New York State.
Service dissatisfaction: We are committed to your satisfaction. If you are genuinely dissatisfied with our work, we will work with you to address the concerns through revisions or adjustments at no additional cost within the agreed scope.
ACN Agency is happy to sign non-disclosure agreements (NDAs) to protect sensitive business information. We have a standard mutual NDA that we use, or we can review your company's NDA.
Standard NDA terms include mutual confidentiality obligations for a period of 3 years following the end of our engagement. We protect all client information, project details, business strategies, and technical information shared during our relationship.
